1. Acceptance of Terms

By accessing, registering for, or using any part of the FormlyIQ platform — including the web application, API, dashboard, or any associated services — you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and Acceptable Use Policy, which are incorporated herein by reference.

If you are using FormlyIQ on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity and its affiliates to these terms. In such cases, "you" refers to that entity.

2. Service Description

FormlyIQ is a form backend platform built for developers and teams. It enables users to create and manage web forms, collect and store form submissions, trigger email and third-party notifications, and integrate submission data into external services and workflows.

FormlyIQ is operated by The Penny Constellation Team. Our services are provided "as-is" and subject to the limitations described in these terms. We reserve the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice.

3. Eligibility

You must be at least 18 years of age to create an account or use FormlyIQ. By using the platform, you confirm that you meet this requirement and are legally capable of entering into a binding contract in your jurisdiction.

FormlyIQ is not intended for use by individuals under 18. If we become aware that an account has been created by a person under 18, we will terminate that account promptly.

4. Accounts & Security

When you register for a FormlyIQ account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys.

You are responsible for all activity that occurs under your account, whether or not you authorized it. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

You may not create multiple accounts to circumvent plan limits, rate limits, or usage restrictions. We reserve the right to merge, suspend, or terminate duplicate or fraudulent accounts.

5. User Responsibilities

You agree to:

• Provide accurate and complete information when registering and using the service.
• Use FormlyIQ only for lawful purposes and in compliance with all applicable laws, including data protection laws such as GDPR, CCPA, and CAN-SPAM.
• Obtain all necessary consents from individuals whose data is collected through your forms before processing their information.
• Promptly respond to data subject requests (access, deletion, portability) from your form submitters within statutory timelines.
• Not misrepresent your identity, business, or the nature of your forms to FormlyIQ or to your users.
• Maintain and secure your API keys, webhook URLs, and form endpoints against unauthorized access.

6. Prohibited Activities

You may not use FormlyIQ to:

• Send unsolicited, bulk, or deceptive communications (spam).
• Engage in phishing, impersonation, identity theft, or fraud.
• Transmit, store, or promote malware, spyware, ransomware, or malicious code.
• Collect submissions from individuals who have not knowingly opted in or initiated contact.
• Violate any applicable law or regulation, including data protection, consumer protection, and anti-spam laws.
• Reverse-engineer, decompile, disassemble, or attempt to derive source code from any part of the FormlyIQ platform.
• Use automated tools to scrape, extract, or download platform data without our written consent.
• Resell, sublicense, or commercially distribute the FormlyIQ API or platform without our written authorization.
• Interfere with, degrade, or disrupt the FormlyIQ infrastructure or third-party services we rely on.
• Promote illegal products or services, harassment, discrimination, or content we determine harmful to our platform or users.

Violations may result in immediate account suspension or termination without refund. See our Acceptable Use Policy for the full list of prohibited content types.

7. Intellectual Property

All content, software, design, trademarks, and other intellectual property on the FormlyIQ platform are owned by The Penny Constellation Team or our licensors. These Terms do not grant you any license to use FormlyIQ's trademarks, logos, or branding.

You retain ownership of all data and content you submit through FormlyIQ. By using our platform, you grant us a limited, non-exclusive license to process, store, and transmit your data solely to provide the services described in these Terms.

8. Privacy

Your use of FormlyIQ is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and protect your personal data and the submission data we process on your behalf.

You are responsible for ensuring your own privacy policy and consent mechanisms comply with applicable law for any personal data you collect through your FormlyIQ forms.

9. Third-Party Services

FormlyIQ integrates with several third-party services to deliver its functionality. By enabling these integrations, you acknowledge that your submission data may be processed by these providers under their own privacy policies:

• Amazon Web Services (SES) — email delivery infrastructure
• Cloudflare — hosting, CDN, edge compute, Turnstile spam protection, and D1/R2 storage
• Stripe — payment processing for ecommerce forms
• Notion, Slack, HuggingFace — optional submission integrations you enable
• Google Analytics, Meta Pixel — analytics on our marketing website (not on your forms)

FormlyIQ is not responsible for the privacy practices or actions of these third parties. We recommend reviewing their respective privacy policies.

10. Disclaimer of Warranties

FormlyIQ is provided "as is" and "as available" without any warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the platform will be uninterrupted, error-free, or completely secure. We are not responsible for:

• Loss or corruption of submission data due to technical failures beyond our reasonable control.
• Delays or failures in third-party integrations (email delivery, Stripe, Notion, Slack, etc.).
• Actions taken by third-party services that affect your workflow or data.

To the extent permitted by applicable law, FormlyIQ expressly disclaims all warranties and conditions of any kind, whether express or implied.

11. Limitation of Liability

To the maximum extent permitted by applicable law, FormlyIQ and The Penny Constellation Team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to:

• Loss of business, revenue, profits, or data.
• Business interruption or missed opportunities.
• Errors, omissions, or inaccuracies in the service.
• Unauthorized access to your account or submission data.

For free plan users, our total liability to you for any cause is zero — we provide no paid service and accordingly accept no financial liability.

For paid plan users, our total aggregate liability is limited to the total fees you paid to FormlyIQ during the 12 months immediately preceding the claim.

Nothing in these Terms excludes or limits liability for death, personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable law.

12. Refund Policy

We offer a 7-day money-back guarantee on all FormlyIQ paid plan purchases. If you are not satisfied with the service for any reason within 7 days of your initial purchase, you may contact us at [email protected] with your account details to request a refund.

Refunds are reviewed on a case-by-case basis and approved in legitimate situations where the service did not meet your reasonable requirements. Approved refunds are processed within 5–10 business days to your original payment method via Stripe.

Subscription renewals

Automatic subscription renewals are generally non-refundable. If you wish to cancel a subscription and avoid a renewal charge, please cancel at least 24 hours before the next billing date from Settings → Billing in your dashboard.

Consumer cancellation rights

If you are a consumer in a jurisdiction with statutory cancellation rights (such as the EU 14-day right of withdrawal), you may exercise those rights by contacting us at [email protected] before the applicable cancellation period expires. This right applies only to the initial purchase and not to subsequent automatic renewals.

13. Indemnification

You agree to indemnify, defend, and hold harmless FormlyIQ, The Penny Constellation Team, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of FormlyIQ in violation of these Terms.
• Content you submit through or host on the platform.
• Your violation of any applicable law or third-party rights.
• Fraudulent, deceptive, or harmful use of your forms against your own users.

14. Monitoring & Enforcement

We monitor platform activity to detect abuse, policy violations, and security threats. We reserve the right to investigate suspected violations and, where appropriate:

• Throttle, suspend, or terminate accounts without prior notice.
• Remove content or disable integrations that violate these Terms.
• Report violations to law enforcement or regulatory authorities.
• Cooperate with lawful requests from government agencies or courts.

15. Termination

Either party may terminate this agreement at any time. You may cancel your account from Settings → Account in your dashboard. We reserve the right to terminate or suspend your access immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms.

Upon termination, your right to access and use the platform ceases immediately. We will retain your submission data for up to 90 days after account termination, after which it will be permanently deleted. You may request an export of your data before this period expires.

16. Modifications to Terms

We may update these Terms from time to time as our services evolve or as legal requirements change. Material changes will be communicated via email to your registered address or through a prominent notice on our platform. The updated Terms will be posted on this page with a revised date.

Continued use of FormlyIQ after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform and may cancel your account.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by applicable law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
